The value of UK M&A activity is on track to hit a record high this year, in a dealmaking environment in which financing trends are enabling corporate buyers to outperform private equity investors.

Higher debt costs weigh on buyout economics and limit the deal sizes sponsors can viably pursue. Private equity is "increasingly boxed out of the largest deal sizes," according to PitchBook.
McCormick's deal with Unilever Foods — the year's largest — was roughly two-thirds funded in stock. PE funds have no equivalent tradeable currency to offer selling shareholders.
Earn-outs, structured equity and rollovers are increasingly used by all dealmakers to close valuation gaps. But these tools do not give sponsors a currency that vendors can trade — a gap corporate buyers do not have.
